This Division is focused on providing logistics services for the industrial remanufacturing sector, operating as a One-Stop-Shop (BPO) and representing different stakeholders in the context of technology procurement processes. Only through explicit clarifications of representation and ownership, the division Emporium Circular Partner will operate as a supplier and\/or vendor of a given product or service. In general, the Emporium Circular Partners Division (ECP -DIV) does not operate as a direct supplier or vendor and therefore shall not bear any liability during the execution of the terms and warranty timeframes, even beyond a possible extension of that warranty. The functions of the Emporium Circular Partners division are limited exclusively to providing logistical services of coordination, warehousing, parts and spare parts management, as well as carrying out representations and consultancies which are clearly determined between (ECP -DIV) and its customer. This is based on the prior conditions acceptance between (ECP-DIV) and its the customer according to its lines of business.\u00a0 Any agreement for the sale of goods (including, as the case may be, examinations, consultancies and\/or tests as defined in paragraph 7 in relation to any goods, whether sold by the Emporium Circular Partners division or not, and regardless of whether such examinations are subject to fees separate from the sale) between (ECP -DIV) and its customer or any order placed by the Customer with the supplier throughout (ECP -DIV), may be cancelled by the Customer only with the prior written consent of (ECP -DIV). All quotations made by (ECP-DIV) are non-binding and the customer is not entitled to assert the quotation as a binding sales agreement. All order confirmations from (ECP-DIV) shall be subject to the availability of the goods. Unless a minimum quantity is expressly stated in the Customer&#8217;s order and repeated by (ECP -DIV) in the Order Confirmation, (ECP -DIV) reserves the right to arrange shipments for part of the goods mentioned in the order. Batch codes on the packaging may be removed due to territorial distribution restrictions. Title (subject to point 5 below) and risk of loss or damage to the goods shall pass to the customer when the goods are in the possession of a common carrier selected by prior agreement between (ECP -DIV) and its customer for the respective shipment. Unless otherwise expressly stated on the face of this contract, the customer shall pay all freight, special handling, delivery, insurance charges, etc. for the shipment of the goods. (ECP -DIV) on behalf of the supplier may refuse, withhold or delay any shipment if the customer fails to pay on time under the payment guidelines established between customer and supplier by (ECP -DIV). Delivery times are merely indicative and are calculated from the date of order confirmation by the supplier through (ECP -DIV). Visual defects or shortages must be reported to (ECP -DIV) no later than 7 days after receipt of the goods by the Customer.\u00a0 Exceeding this period, the Customer shall be deemed to have unconditionally and absolutely waived any further claims for damages, defects or shortages, or for any other cause (whether in contract, negligence, strict liability or tort) regardless of whether the claim is discovered or whether processing, further manufacture, other use or resale of the goods has taken place. The (ECP -DIV) Customer Service representative will record and review all appropriate requests and, if approved, will send the customer a return form. The customer must return the damaged or defective goods to (ECP -DIV) or the supplier, as provided in the specific case, within 7 days of obtaining the label.
